Title: Commercial Transactions Attorney (North America)

PRIMARY RESPONSIBILITIES AND OBJECTIVES: -Review, draft, negotiate and redline a wide variety of technology agreements such as master consulting services agreements, alliance agreements, reseller agreements, licenses, as well as support agreements, such as work orders and change orders.
-Provide strategic advice and contract interpretation, guidance and risk assessment on commercial contract matters to business teams.

-Balance a large workload consisting of numerous urgent requests at one time, while communicating proactively with and remaining responsive to internal and external clients.
-Identify, issue-spot, communicate, and escalate issues appropriately to ensure compliance with company contracting policies and risk positions, including topics such as acceptance criteria, project milestones, reporting requirements and tracking, data protection, anti-corruption, export compliance, audit needs, and subcontracting requirements.
-Coordinate final reviews and approvals by appropriate internal teams in accordance with company policy.
-Work with internal groups (company data protection, export compliance teams, tax) in obtaining reviews and managing contract risk.
- Assist with developing playbooks and processes to enable consistency in agreements across commonly negotiated terms.
-Develop and deliver trainings to sales teams to improve understanding of company policies and contract negotiating positions.
-Other duties as assigned.

KNOWLEDGE AND SKILL REQUIREMENTS (TECHNICAL AND FUNCTIONAL):
-Extensive experience in structuring, negotiating, drafting and reviewing technology agreements.

-Strong transactional drafting and negotiation skills.
-Comprehensive knowledge of IT issues affecting transactional support, including technical, business, compliance, and legal issues.
-Superior communication skills and experience with active listening and understanding information gathered from various sources, and ability to communicate legal advice promptly and pragmatically in a business context.
-Up-to-date working knowledge of Microsoft products

-Well-rounded business perspective; passion for technology and willingness to learn.
-Ability to contribute positively as a member of a team in an intense, fast-paced environment.
-Agility to navigate a diverse organization and obtain inputs from stakeholders in a productive and timely manner.
-Results-driven problem-solver who can take ownership while remaining inclusive of others.
-Ability to work independently in a legal role with a heavy emphasis on business agreements and negotiations with customers and partners.

Qualifications

Qualifications
-J.D. degree and active bar membership required.

-Experience (5+ years) as in-house counsel or in a law firm.
-Successful candidate will have significant experience handling legal issues in technology agreements, while demonstrating a well-rounded business perspective and solution-oriented approach.
- Professional certifications or courses in contract management preferred
